1. Acceptance of terms

By accessing, browsing, or using the PropertyGrowth®website (propertygrowth.io), mobile applications, or any related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), along with our Privacy Policy.

Your Representations:

• You are at least 18 years of age or have reached the age of majority in your jurisdiction
• You have the legal capacity to enter into a binding agreement
• You will use the Platform in compliance with all applicable federal, provincial, and local laws
• All information you provide is truthful, accurate, and complete
• You will maintain the accuracy of such information

Agreement Formation:

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and PropertyGrowth®. ("PropertyGrowth®" "Company," "we," "us," or "our").

Non-Acceptance:

If you do not agree to these Terms, you must immediately cease all use of the Platform and any associated services.

2. Definitions

"AI-Driven Tools"

means artificial intelligence and machine learning features including predictive analytics, market insights, automated valuations, and recommendation engines.

"Content"

means all text, graphics, images, data, listings, reports, software, and other materials available on the Platform.

"Listing"

means property information, descriptions, photographs, and related data submitted to the Platform.

"Professional User"

means licensed real estate agents, brokers, or investment professionals using the Platform for commercial purposes.

"Services"

means all features, tools, analytics, referral networks, and functionalities provided through the Platform.

"User Content"

means any content, including listings, reviews, comments, or data, submitted by Users.

3. Eligibility and account registration

3.1 Eligibility Requirements

You must meet the following criteria to use the Platform:

• Be at least 18 years old or the age of majority in your jurisdiction
• Not be prohibited from using the Services under applicable laws
• Not have been previously suspended or banned from the Platform
• Possess the legal authority to agree to these Terms

3.2 Account Registration

To access certain features, you must create an account by providing:

• Full legal name
• Valid email address
• Phone number
• Password meeting security requirements
• Additional information as required for Professional Users

3.3 Account Verification

Professional Users must provide:

• Valid real estate license or professional credentials
• Brokerage affiliation information
• Proof of insurance where applicable
• Additional documentation as reasonably requested

3.4 Account Accuracy

You must:

• Provide accurate, current, and complete information
• Maintain and promptly update account information
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

3.5 Account Types

• Free Account: Basic access to property listings and limited analytics
• Professional Account: Enhanced features for licensed agents and brokers, including listing management and referral network access
• Investor Account: Advanced analytics, deal flow access, and market intelligence tools

4. Services provided

4.1 Platform Features

PropertyGrowth®provides the following services:

For Real Estate Professionals:

• Property listing management and promotion
• Marketing tools and templates
• Lead generation and management
• Global referral network access
• Transaction coordination tools
• Performance analytics

For Investors:

• Curated investment opportunities
• Market analysis and trend reports
• Risk assessment tools
• Portfolio tracking
• Deal sourcing and evaluation
• Comparative market analytics

For All Users:

• Property search and discovery
• AI-driven property recommendations
• Market insights and data visualization
• Educational resources and guides
• Communication tools

4.2 AI-Driven Analytics

Our Platform utilizes AI and machine learning to provide:

• Predictive market analysis
• Property valuation estimates
• Investment opportunity scoring
• Automated reporting
• Trend forecasting
• Risk assessments

Important Limitations:

• AI tools are estimates based on historical data and algorithms
• Results should not replace professional appraisals or advice
• Accuracy is not guaranteed and may vary by market and property type
• Users must independently verify all AI-generated insights

4.3 Service Modifications

PropertyGrowth®reserves the right to:

• Modify, suspend, or discontinue any Service feature
• Change feature availability by account type
• Implement new features or requirements
• Update functionality to improve user experience

We will provide reasonable notice of material changes when practicable.

5. User accounts and security

5.1 Account Security

You are responsible for:

• Maintaining the confidentiality of login credentials
• All activities occurring under your account
• Notifying us immediately of any security breach
• Using strong passwords and enabling two-factor authentication when available

5.2 Prohibited Account Practices

You may not:

• Share account credentials with others
• Create multiple accounts to circumvent restrictions
• Use another person's account without permission
• Impersonate any person or entity
• Sell, transfer, or assign your account

5.3 Account Monitoring

PropertyGrowth®reserves the right to monitor accounts for:

• Compliance with these Terms
• Fraudulent or suspicious activity
• Quality assurance and platform improvement
• Legal and regulatory compliance

6. Disclaimers and warranties

6.1 "AS IS" and "AS AVAILABLE" Basis

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

6.2 No Guarantee of Accuracy

PropertyGrowth®does not warrant that:

• Property listings are accurate, complete, or current
• Market data reflects real-time conditions
• AI-driven analytics will be error-free or reliable
• The Platform will be uninterrupted, secure, or virus-free
• Defects will be corrected
• Results or outcomes will meet your expectations

6.3 Information Verification Requirement

Users must independently verify:

• All property information before making decisions
• Listing details with property owners or listing agents
• Market data through multiple sources
• Legal and financial implications with qualified professionals
• Regulatory compliance for their jurisdiction

6.4 Not Professional Advice

PropertyGrowth®DOES NOT provide:

• Legal advice or services
• Financial planning or investment advice
• Tax advice or services
• Real estate brokerage services (except through affiliated licensed brokers)
• Property management services
• Appraisal or valuation services

Professional Consultation Required:

You should consult with licensed professionals before:

• Making any real estate investment
• Entering into property transactions
• Making financial decisions based on Platform information
• Relying on AI-generated analytics for material decisions

6.5 AI and Algorithm Limitations

AI-DRIVEN TOOLS AND PREDICTIVE ANALYTICS:

• Are probabilistic estimates, not guarantees
• Rely on historical data that may not predict future performance
• May contain algorithmic biases or limitations
• Should be used as supplementary tools only
• Require human oversight and professional judgment

6.6 Investment Risk Acknowledgment

BY USING THIS PLATFORM, YOU ACKNOWLEDGE THAT:

• Real estate investments carry inherent risks
• Property values can decrease as well as increase
• Past performance does not guarantee future results
• Market conditions can change rapidly
• You may lose some or all of your investment
• PropertyGrowth®makes no guarantees regarding investment returns
• You are solely responsible for your investment decisions

6.7 No Agency Relationship

Use of the Platform does not create:

• An agency relationship between you and PropertyGrowth®
• A fiduciary duty owed by PropertyGrowth®to you
• An obligation to act in your best interest
• Legal representation
• Any partnership or joint venture

Any agency relationship must be established through a separate written agreement signed by authorized representatives.

6.8 Third-Party Information

Information provided by third parties:

• Is not verified or endorsed by PropertyGrowth®
• May be inaccurate, incomplete, or outdated
• Is the sole responsibility of the third party
• Should be independently verified

6.9 Regulatory Compliance

While PropertyGrowth®strives to comply with applicable real estate regulations:

• Users are responsible for ensuring their own compliance
• PropertyGrowth®does not guarantee regulatory compliance
• Real estate laws vary by jurisdiction
• Users should consult legal counsel regarding compliance obligations

6.10 MLS and Data Provider Disclaimers

Data provided by the Toronto Regional Real Estate Board (TRREB), The Canadian Real Estate Association (CREA), and other Multiple Listing Services:

• Is deemed reliable but not guaranteed
• May contain errors or omissions
• Is subject to the terms and conditions of the data provider
• May not reflect the most current information
• Is provided for informational purposes only

7. Intellectual property rights

7.1 PropertyGrowth®Ownership

All Content on the Platform, including but not limited to:

• Software, code, and algorithms
• Design, layout, and user interface
• Graphics, logos, and trademarks
• Text, images, and multimedia
• AI models and analytical tools
• Database structures and compilations

is owned by or licensed to PropertyGrowth®Inc. and is protected by Canadian and international copyright, trademark, patent, and other intellectual property laws.

7.2 Trademarks

"PropertyGrowth®" the PropertyGrowth®logo, and other marks are trademarks of PropertyGrowth®Inc. Unauthorized use is strictly prohibited.

7.3 Limited License to Users

PropertyGrowth®grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Platform for personal or authorized commercial purposes
• View and download Content for personal reference
• Use tools and features as intended

You may NOT:

• Copy, modify, or create derivative works
• Reverse engineer, decompile, or disassemble any software
• Remove copyright notices or proprietary markings
• Use Content for competing services
• Frame or mirror any part of the Platform

7.4 User Content License

By submitting User Content, you grant PropertyGrowth®

• A worldwide, non-exclusive, royalty-free license
• The right to use, reproduce, modify, adapt, publish, and distribute your Content
• The right to sublicense to third parties
• The right to use for promotional and marketing purposes

This license continues even after account termination for Content that has been shared or distributed.

7.5 User Content Representations

You represent and warrant that:

• You own or have rights to all User Content submitted
• Your Content does not infringe third-party rights
• You have all necessary permissions and releases
• Your Content complies with these Terms and applicable laws

7.6 Feedback and Suggestions

Any feedback, suggestions, or ideas you provide:

• Become the property of PropertyGrowth®
• May be used without compensation or attribution
• Are provided without any confidentiality obligation

8. User content and conduct

8.1 Content Standards

All User Content must:

• Be accurate and not misleading
• Comply with all applicable laws and regulations
• Respect intellectual property rights
• Be appropriate and professional
• Not contain prohibited content (see Section 8.2)

8.2 Prohibited Content

You may not post, upload, or transmit Content that:

• Is false, fraudulent, or deceptive
• Infringes intellectual property rights
• Contains viruses, malware, or harmful code
• Is defamatory, obscene, or offensive
• Promotes illegal activity
• Contains personal information of others without consent
• Violates privacy or publicity rights
• Is spam or unsolicited advertising
• Impersonates others
• Contains hate speech or discriminatory content

8.3 Property Listings Requirements

All property listings must:

• Accurately describe the property
• Include only authorized photographs
• Disclose material defects or issues
• Comply with fair housing laws
• Be authorized by the property owner
• Include accurate pricing information
• Meet MLS and CREA standards where applicable

8.4 Content Monitoring

PropertyGrowth®reserves the right to:

• Monitor, review, and moderate User Content
• Remove Content that violates these Terms
• Suspend accounts for violations
• Report illegal activity to authorities
• Cooperate with law enforcement

We are not obligated to monitor Content but may do so at our discretion.

8.5 Content Removal

We may remove Content that:

• Violates these Terms or applicable laws
• Infringes intellectual property rights
• Is reported by other users
• Poses security or legal risks
• Is inappropriate or offensive

9. Prohibited activities

You agree NOT to:

9.1 Platform Misuse

• Access the Platform through automated means (bots, scrapers, crawlers) without authorization
• Interfere with or disrupt Platform operations or servers
• Bypass security measures or authentication systems
• Attempt to gain unauthorized access to any part of the Platform
• Introduce viruses, trojans, or other harmful components
• Overload or impair Platform infrastructure

9.2 Data Misuse

• Scrape, harvest, or collect data systematically
• Use data mining or extraction tools
• Copy or replicate databases or substantial portions of Content
• Aggregate data for competing services
• Sell or license Platform data to third parties

9.3 Fraudulent Activities

• Provide false or misleading information
• Create fake listings or accounts
• Engage in identity theft or impersonation
• Manipulate reviews or ratings
• Conduct fraudulent transactions
• Engage in money laundering or financial crimes

9.4 Commercial Misuse

• Use the Platform for unauthorized commercial purposes
• Advertise competing services
• Resell Platform access or features
• Frame or deep-link to the Platform without permission
• Use the Platform to build competing products

9.5 Legal Violations

• Violate any applicable laws or regulations
• Infringe intellectual property rights
• Violate privacy or data protection laws
• Engage in discrimination or fair housing violations
• Facilitate illegal transactions
• Evade taxes or regulatory requirements

9.6 Harassment and Abuse

• Harass, threaten, or abuse other users
• Send spam or unsolicited communications
• Stalk or intimidate others
• Engage in discriminatory conduct
• Create a hostile environment

10. Privacy and data protection

10.1 Privacy Policy Incorporation

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data practices.

10.2 Data Collection and Use

By using the Platform, you consent to:

• Collection of personal information as described in the Privacy Policy
• Processing of data for service delivery and improvement
• Sharing of information with service providers and partners
• Use of cookies and tracking technologies
• Analytics and performance monitoring

10.3 Third-Party Data Sharing

Your information may be shared with:

• Affiliated real estate boards (TRREB, CREA)
• Service providers and vendors
• Payment processors
• Analytics providers
• Legal authorities when required

10.4 Data Security

While we implement reasonable security measures:

• We cannot guarantee absolute security
• You use the Platform at your own risk
• You should use secure practices when sharing sensitive data
• You are responsible for maintaining credential security

10.5 Your Data Rights

Depending on jurisdiction, you may have rights to:

• Access your personal data
• Correct inaccurate information
• Request deletion of your data
• Restrict processing
• Data portability
• Withdraw consent

11. Fees and payment terms

11.1 Subscription Plans

PropertyGrowth®offers various subscription tiers:

• Free Plan: Basic access with limited features
• Professional Plan: Enhanced features for real estate professionals
• Investor Plan: Advanced analytics and exclusive deal access
• Enterprise Plan: Custom solutions for teams and organizations

11.2 Payment Authorization

By subscribing to a paid plan, you authorize PropertyGrowth®to:

• Charge the payment method on file
• Process recurring payments according to your billing cycle
• Update charges for plan upgrades or changes
• Apply applicable taxes and fees

11.3 Billing Cycles

• Monthly Plans: Billed on the same day each month
• Annual Plans: Billed annually on the subscription anniversary
• Billing occurs automatically unless cancelled

11.4 Payment Methods

We accept:

• Credit cards (Visa, Mastercard, American Express)
• Debit cards
• Other methods as made available

11.5 Failed Payments

If a payment fails:

• We will attempt to charge your payment method multiple times
• You will receive notification of the failed payment
• Services may be suspended after [X] days
• Your account may be downgraded or terminated

11.6 Taxes

You are responsible for all applicable taxes, including:

• GST/HST as required by Canadian law
• Provincial sales taxes
• Other applicable taxes based on your location

Taxes will be calculated and added to your invoice.

11.7 Fee Changes

PropertyGrowth®reserves the right to:

• Modify subscription fees with [30] days' notice
• Introduce new fees for new features
• Offer promotional pricing
• Honor current subscription rates until renewal

11.8 No Refund for Partial Periods

Fees are non-refundable except as specified in Section 12. No refunds will be provided for:

• Partial billing periods
• Unused features or services
• Account suspension or termination for violations

12. Cancellation and refund policy

12.1 Cancellation by User

You may cancel your subscription at any time by:

• Accessing account settings
• Contacting customer support at support@propertygrowth.io
• Following the cancellation process

12.2 Cancellation Effective Date

• Cancellation takes effect at the end of the current billing period
• You retain access to paid features until period end
• No refund for the remaining period unless otherwise stated

12.3 Refund Policy

30-Day Money-Back Guarantee:

• First-time subscribers to paid plans may request a full refund within 30 days
• Refund request must be submitted to support@propertygrowth.io
• Refunds are processed within [10-15] business days

No Refunds After 30 Days:

• No refunds for renewals or subsequent billing periods
• No refunds for partial months or unused features
• No refunds for violations leading to termination

Exceptions:

• Technical issues preventing service access may qualify for prorated refunds
• Duplicate charges will be refunded promptly
• Errors in billing will be corrected

12.4 Cancellation by PropertyGrowth

We may cancel your subscription if:

• You violate these Terms
• Your account is inactive for [12] months
• We discontinue services
• Legal or regulatory requirements mandate cancellation

12.5 Data Retention After Cancellation

After cancellation:

• Your account may be downgraded to free tier
• User Content may be retained according to our Privacy Policy
• Some data may be deleted after [90] days
• You may request data deletion by contacting privacy@propertygrowth.io

13. Third-party services and links

13.1 Third-Party Links

The Platform may contain links to:

• Real estate boards and associations
• Service provider websites
• Partner platforms
• Educational resources
• Social media platforms

13.2 No Endorsement

PropertyGrowth®does not:

• Endorse third-party websites or services
• Control third-party content
• Assume responsibility for third-party practices
• Guarantee the accuracy of third-party information

13.3 Third-Party Terms

Your use of third-party services is governed by:

• Their respective terms and conditions
• Their privacy policies
• Their business practices

13.4 Third-Party Integrations

The Platform may integrate with third-party services for:

• Payment processing
• Analytics and tracking
• Communication tools
• Data enrichment
• Marketing services

You acknowledge that these integrations are subject to third-party terms.

13.5 User Responsibility

You are solely responsible for:

• Reviewing third-party terms and policies
• Any transactions with third parties
• Disputes arising from third-party services
• Data shared with third-party platforms

14. Limitation of liability

14.1 Maximum Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PROPERTYGROWTH'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID TO PROPERTYGROWTH IN THE 12 MONTHS PRECEDING THE CLAIM, OR

(B) CAD $100

14.2 Exclusion of Consequential Damages

PROPERTYGROWTH SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Cost of substitute services
• Property damage
• Personal injury (except where prohibited by law)

This applies regardless of the legal theory (contract, tort, negligence, strict liability) and even if PropertyGrowth®was advised of the possibility of such damages.

14.3 Specific Disclaimers of Liability

PropertyGrowth®is NOT liable for:

• Accuracy or completeness of property listings
• Decisions made based on Platform information
• Investment losses or financial damages
• Actions or omissions of other users
• Third-party services or content
• Platform downtime or technical issues
• Data breaches resulting from user negligence
• Unauthorized access to accounts
• Errors in AI-driven analytics or predictions

14.4 User Responsibility for Decisions

You acknowledge that:

• You are solely responsible for investment and business decisions
• You will verify all information independently
• PropertyGrowth®provides tools, not advice
• Professional consultation is required for material decisions

14.5 Jurisdictional Limitations

Some jurisdictions do not allow limitation of implied warranties or liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14.6 Allocation of Risk

These limitations reflect an allocation of risk between you and PropertyGrowth® The Platform pricing reflects these risk allocations and limitations of liability.

15. Indemnification

15.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless PropertyGrowth®Inc., its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

1. Your use or misuse of the Platform
2. Your violation of these Terms
3. Your violation of any rights of another party
4. Your User Content or property listings
5. Your breach of any representation or warranty
6. Your negligence or willful misconduct
7. Your violation of applicable laws or regulations
8. Any transaction or dispute between you and another user

15.2 Defense of Claims

PropertyGrowth®reserves the right to:

• Assume exclusive defense and control of any matter subject to indemnification
• Require your cooperation in defending such claims
• Settle claims at its discretion

You may not settle any claim without PropertyGrowth®apos;s prior written consent.

15.3 Notice Requirement

You must promptly notify PropertyGrowth®of any claim that may trigger indemnification obligations.

16. Modifications to services and terms

16.1 Service Modifications

PropertyGrowth®reserves the right to:

• Modify, suspend, or discontinue any service feature
• Add new features or services
• Change availability by subscription tier
• Update Platform functionality

We will attempt to provide reasonable notice of material changes but are not obligated to do so.

16.2 Terms Modifications

We may update these Terms:

• To reflect changes in our services
• To comply with legal requirements
• To address new circumstances or risks
• To improve clarity or organization

16.3 Notice of Changes

Material changes will be communicated via:

• Email notification to registered users
• Prominent notice on the Platform
• Updated "Effective Date" at the top of this document
• In-Platform notification upon login

16.4 Acceptance of Modified Terms

Continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree to modifications, you must:

• Cease using the Platform
• Cancel your subscription
• Contact us to close your account

16.5 Material Changes Requiring Consent

For material changes affecting:

• Payment terms or pricing
• Data usage or privacy practices
• Substantial reduction in functionality

We may require your affirmative consent before the changes apply to you.

17. Termination and suspension

17.1 Termination by User

You may terminate your account at any time by:

• Following the account closure process in settings
• Contacting support@propertygrowth.io
• Providing written notice

17.2 Termination by PropertyGrowth

We may terminate or suspend your account immediately, without notice, for:

• Violation of these Terms
• Fraudulent activity or suspected fraud
• Illegal conduct
• Non-payment of fees
• Harmful conduct toward other users
• Misuse of Platform resources
• Violation of intellectual property rights
• Risk to Platform security or integrity

17.3 Suspension for Investigation

We may temporarily suspend accounts:

• During investigation of potential violations
• For security reasons
• To comply with legal process
• To prevent ongoing harm

You will be notified of suspension when practicable.

17.4 Effect of Termination

Upon termination:

• Your right to access the Platform ceases immediately
• Paid subscriptions may be forfeited without refund (unless terminated by us without cause)
• User Content may be deleted after [90] days
• Certain provisions of these Terms survive (see Section 17.6)
• Outstanding fees become immediately due

17.5 Data Retrieval

You may request a copy of your data:

• Within [30] days of termination

• Subject to technical feasibility
• In commonly used format

18. Dispute resolution and governing law

18.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

18.2 Jurisdiction and Venue

You agree that:

• Any legal action must be brought in the courts of Ontario
• You submit to the exclusive jurisdiction of Ontario courts
• Venue is proper in Mississauga, Ontario

18.3 Mandatory Arbitration

Binding Arbitration Agreement:

Any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved through binding arbitration rather than in court, except as specified below.

Arbitration Process:

• Governed by the Arbitration Act, 1991 (Ontario)
• Conducted by a single arbitrator
• Held in Mississauga, Ontario, or virtually
• Rules of the ADR Institute of Canada apply
• Each party bears their own costs unless otherwise awarded

Exceptions to Arbitration:

The following may be brought in court:

• Small claims court matters within jurisdictional limits
• Injunctive relief to prevent infringement of intellectual property
• Emergency relief to prevent irreparable harm

18.4 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY, NOT AS PART OF A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

You waive any right to participate in class actions.

18.5 Informal Resolution

Before initiating arbitration or litigation, you agree to:

• Notify PropertyGrowth®in writing of the dispute
• Attempt good faith negotiation for [30] days
• Provide sufficient detail to enable resolution discussions
• Send notices to: legal@propertygrowth.io

18.6 Time Limitation on Claims

Any claim must be filed within ONE (1) YEAR after the cause of action arises. Claims filed after this period are permanently barred.

18.7 Injunctive Relief

Either party may seek injunctive or equitable relief in court to:

• Prevent infringement of intellectual property
• Enforce confidentiality obligations
• Prevent irreparable harm

19. Accessibility

19.1 AODA Compliance

20. General provisions
